General Conditions of Sale


1. Scope and acceptance

These General Conditions of Sale apply to all paid offers for Zenpa, including the 7-day free trial, Monthly and Annual subscriptions, and Lifetime licenses purchased through Stripe Hosted Checkout opened from the Zenpa app or any Stripe checkout link we provide.

By completing a purchase, confirming a payment, starting a free trial, or starting a paid plan, you confirm that you have read, understood, and accepted these conditions. If you do not agree with them, please do not start a trial or purchase a paid plan.

Zenpa is a desktop application for personal or professional productivity. You confirm that you have the legal capacity to enter into a binding contract and, if you purchase on behalf of an organization, that you are authorized to bind that organization.

2. Plans and pricing

Zenpa is a locally installed AI desktop companion for macOS. Paid access unlocks the features associated with the plan you select at checkout. Feature sets may evolve as the product develops.

Monthly and Annual are recurring subscriptions billed in advance. You may cancel renewal at any time as described in Section 7.

Lifetime is tiered and escalating. Only one Lifetime tier is on sale at a time. The active price is the first tier that still has licenses available. When a tier's 500 licenses sell out, the price rises to the next tier. All Lifetime plans are a one-time payment and never a subscription.

Prices shown at checkout for your selected plan are the commercial offer applicable to your order. Applicable taxes may be added. Promo or discount codes may be offered for campaigns and apply only when accepted by Stripe at checkout.

2.1. The 7-day free trial

Monthly and Annual start with a 7-day free trial. The trial gives you the complete product with no feature held back and no usage limit. Lifetime plans do not include a trial, because they are a one-time purchase and not a subscription.

How it works:

  • A payment card is required to start. You enter it at Stripe Hosted Checkout so that access continues without interruption if you decide to keep Zenpa. Stripe may place a temporary verification hold to confirm the card is valid. This is not a charge and any hold is released by your bank.
  • Nothing is charged during the 7 days. The trial begins when checkout completes and runs for seven consecutive calendar days.
  • The first payment is taken automatically when the trial ends (day 8), at the price of the plan you selected, unless you cancel first. From then on the plan renews normally as described in Sections 6 and 7.
  • You may cancel at any time during the trial from Settings, Billing in the Zenpa app, or by contacting legal@zenpa.ai. If you cancel before the trial ends, you are never charged. Access then continues until the end of the trial period and stops after that.
  • One trial per customer. The free trial is limited to one per person, account, and payment method. We may decline or shorten a trial where we detect repeat trials, duplicate accounts, or other abuse, and we may require immediate payment instead.

If the first payment after the trial fails, you are not left guessing: you enter the grace period described in Section 6 and see a payment-issue notice in the app. If the payment is not resolved, access ends when the grace period expires.

We may change or withdraw the trial offer for future sign-ups at any time, including its duration or availability. A trial already started runs on the terms that applied when you started it.

3. Payment (Stripe Hosted Checkout)

Payments are processed exclusively through Stripe Hosted Checkout in your system browser. Card data never touches Zenpa servers. Stripe handles payment data according to its own security and compliance standards. By paying, you also accept Stripe's applicable terms for the payment method you use.

We accept cards only (including Apple Pay and Google Pay where Stripe makes them available). We do not offer SEPA, bank transfer, or other asynchronous payment methods.

Access is enabled once Stripe confirms your payment or, for a plan starting with a free trial, once checkout completes and the trial begins. If a payment is declined or checkout is not completed, nothing is charged and no access is granted; you can simply try again.

Each purchase action is processed once. We take steps to block duplicate or double-click charges for the same checkout. You authorize us (and Stripe on our behalf) to charge the payment method you provide for the initial amount and, for Monthly and Annual plans, for each renewal until you cancel. Where the plan starts with a free trial, you authorize the first charge to be taken automatically at the end of the trial, unless you cancel before then.

4. Contract formation and immediate access

The contract is formed when checkout completes and we grant access to the corresponding plan. Zenpa is digital desktop software, so your license and access are supplied immediately: after successful payment for a plan without a trial, or at the start of the trial period for a plan that includes one.

By completing checkout, you expressly request that we begin performance immediately (unlock access and supply the digital content / license without waiting for any cooling-off period to end), and you acknowledge that once access is granted you lose any statutory right of withdrawal that might otherwise apply, to the extent permitted by law.

Where checkout includes a confirmation checkbox or similar consent step, that confirmation forms part of your agreement to immediate performance and to the loss of the withdrawal right.

5. No refunds for change of mind

The 7-day free trial on Monthly and Annual exists so you can evaluate Zenpa properly before any money changes hands. Please use it. Once a payment has been taken, and to keep pricing simple and fair for everyone, sales are final for change of mind. We do not offer refunds, credits, or proration for Monthly, Annual, or Lifetime plans when you no longer want the product, stop using it, or prefer a different plan. In practice:

  • During a free trial: cancel before the trial ends and nothing is charged, so no refund is needed. See Section 2.1.
  • First charge after a trial: once the trial has ended and the first payment is taken, that payment is treated like any other and is not refunded for change of mind. You had the full seven days to decide at no cost.
  • Recurring cancellation: you keep access until the end of the period you already paid for, then it stops. No partial refund and no proration credit.
  • Lifetime: one-time and non-refundable for change of mind.
  • Switching plans or upgrading to Lifetime: any unused time on the previous plan is forfeited without a credit or refund.
  • Unused time, partial use, dissatisfaction with AI output or results, or incompatibility with a device that does not meet the published requirements are not refund grounds. Please check the requirements before purchasing.

5.1. Right of withdrawal (cooling-off)

Under some consumer laws (including in the EU/EEA), you may have a statutory 14-day right of withdrawal for distance purchases. For digital content or digital services supplied immediately, that right is typically lost when you expressly consent to immediate performance and acknowledge the loss of the right.

For Monthly and Annual plans, the 7-day free trial in Section 2.1 is designed to give you a better outcome than a cooling-off period rather than to take one away. During those seven days you have the complete product, you can cancel for any reason or none, and no money is taken at all, so there is nothing to refund. The trial period runs alongside any statutory withdrawal period that applies to you.

For Lifetime plans, which are supplied immediately against a one-time payment and include no trial, you request immediate access at checkout and access is granted as soon as payment succeeds. You therefore agree, to the maximum extent permitted by applicable law, that:

  • any applicable right of withdrawal or cooling-off period ends once we have granted access; and
  • no change-of-mind refund is due after access has been enabled, whether or not you continue to use Zenpa.

If mandatory law in your country of residence requires a withdrawal right that cannot be validly waived in your situation, that mandatory rule prevails, and our remedy is limited to what that law requires.

5.2. Defects and mandatory legal guarantees

Nothing in these conditions limits mandatory consumer rights that cannot be waived, including legal guarantees of conformity where they apply (for example, remedies if the software is defective, not as described, or cannot be used on a supported configuration through no fault of yours).

Those rights are separate from change-of-mind refunds. If you believe Zenpa is defective or non-conforming, contact support@zenpa.ai with details so we can investigate. Where a mandatory remedy applies, we may repair or update the software, re-enable or restore access, or provide another remedy required by law. A refund is not the default commercial response and is due only when mandatory law requires it after other remedies fail or are unavailable.

Subjective dissatisfaction with AI-generated output, feature preferences, or results affected by your data, configuration, third-party services, or usage does not by itself constitute a defect.

5.3. Billing errors, chargebacks, and disputes

Our checkout is designed to prevent accidental double charges. If a duplicate charge for the same purchase ever slips through, contact us at legal@zenpa.ai and we will correct it. Correcting our own billing error is not a refund of the sale itself and does not create a general refund policy.

If something looks wrong with a charge, please contact us first: direct resolution is almost always faster than a card dispute. If a chargeback or payment dispute is opened for a purchase where access was properly granted, we may suspend access while the dispute is resolved and, where permitted by law, recover amounts that remain unpaid.

6. Access, renewal, grace period, and offline use

You have access if you hold a Lifetime license, an active (not expired) Monthly or Annual plan, an active 7-day free trial, or a plan in the short grace period that follows a failed renewal payment.

Recurring plans renew automatically. If a renewal payment fails, we do not cut off access immediately: you enter a grace period and see a payment-issue notice in the app, and everything returns to normal once payment succeeds. If the payment issue is not resolved, access ends when the grace period expires.

Zenpa is local-first. A paying user (or a user on a valid demo or trial entitlement) keeps access offline based on the last confirmed license on the device: Lifetime remains valid for the commercial life of the product; recurring access continues through the paid-until date stored on the device.

Trial, free, or early-access use does not guarantee continued free access. Once such access ends, continuing to use Zenpa requires a paid plan under these conditions.

7. Subscription cancellation (Monthly and Annual)

You may cancel renewal at any time from the app billing flow or by contacting us at legal@zenpa.ai. Cancellation takes effect at the end of the current paid period. You keep access until that date. No pro-rata refund is issued for the unused portion of the period.

If you are still in your free trial, the same cancellation route applies and no payment is ever taken: access continues to the end of the seven days and then stops. You do not need to contact us or give a reason.

Stopping use or uninstalling the app does not by itself cancel a subscription or a trial. You must cancel as described above, otherwise a trial converts to a paid plan at the end of the seven days.

8. Lifetime plan

A Lifetime plan is a one-time purchase, non-refundable for change of mind, at the then-active Lifetime tier price. It grants a personal license to use Zenpa for as long as we commercially operate and support the Zenpa product under that offering. Lifetime does not include a free trial. If you would like to try Zenpa before committing, start a Monthly trial first: you can move to Lifetime later, subject to Section 5.

"Lifetime" means the commercial lifetime of the Zenpa product, not your personal lifetime, and not a guarantee that Zenpa will exist forever. If we permanently discontinue Zenpa as a product, Lifetime access ends when the product is retired. No refund is due in that event, except where mandatory law requires otherwise.

Lifetime access is non-transferable, except with our prior written consent. It does not include future products we may launch under a different brand or commercial model, unless we expressly say so.

9. Account deletion

Account deletion is triggered only from the Zenpa app. When you delete your account, we begin the applicable account and Stripe cleanup as part of that flow. Certain transaction records may still be retained where required for legal, tax, fraud prevention, dispute, or regulatory purposes.

  • Recurring subscriber: all subscriptions are cancelled immediately and any remaining paid time is given up without a refund or proration, so we recommend letting a paid period run out before deleting. We request deletion of the associated Stripe customer profile and delete eligible account and local data, subject to records that we or Stripe must retain. If you register again later, you start fresh and need a new plan.
  • Lifetime user: any recurring subscription is cancelled. The Stripe customer record is preserved as necessary to maintain the Lifetime entitlement and applicable transaction records. Other eligible account and local data are deleted. Re-registering with the same email automatically restores Lifetime access.

10. Demo, complimentary, and beta access

We may grant demo or complimentary access at our discretion. Such access is a courtesy, not a sale: it does not count against Lifetime tier availability, has no cash value, and may be adjusted or ended at any time.

This section covers discretionary access that we grant by hand, such as beta, press, or complimentary access. It is separate from the standard 7-day free trial in Section 2.1. Discretionary access ends without charging you, and once it ends a paid plan is required to continue using paid features. Unlike the standard trial, it does not convert into a paid plan by itself.

11. License and permitted use

Subject to payment and compliance with these conditions and the Terms of Service, we grant you a limited, non-exclusive, non-transferable license, revocable only as set out in Section 17, to install and use Zenpa for your professional or personal productivity purposes according to the plan you purchased.

You may not resell, sublicense, rent, share credentials beyond what your plan allows, reverse engineer the software except where mandatory law permits, or use Zenpa to build a competing product using our proprietary materials.

12. Account, eligibility, and your responsibilities

You must provide accurate billing and account information. You are responsible for activity under your account and for safeguarding your credentials. Paid access is tied to the account and email used at checkout unless we agree otherwise in writing.

Please check the system requirements before purchasing (including a compatible macOS version and hardware capable of running the local AI features you expect). Incompatibility with a setup that does not meet the published requirements is not a defect and is not a refund ground.

13. Availability, support, and changes to the service

We aim to keep Zenpa reliable, but we do not guarantee unbroken availability of cloud account features, payment portals, updates, or any optional online components. Maintenance, updates, force majeure, third-party outages (including Stripe), or technical issues may temporarily affect online features.

Zenpa is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Support, if any, is provided on a commercially reasonable basis and does not constitute a service-level agreement unless we enter into a separate written agreement with you.

14. Price changes

We may change prices for future renewals or new purchases, including moving the active Lifetime tier as licenses sell out. For Monthly and Annual plans, price changes apply from the next renewal after notice (for example by email or in-app notice), unless a longer notice period is required by law. If you do not accept a renewal price change, cancel before the renewal date. A Lifetime purchase already completed is not subject to additional recurring fees for that same Lifetime entitlement.

15. Intellectual property

Zenpa, including its software, branding, models we distribute, documentation, and related materials, remains our property or that of our licensors. Your purchase grants a license to use the service under these conditions, not ownership of the software. Your on-device content remains yours, as described in our Privacy Policy and Terms of Service.

16. Limitation of liability

To the maximum extent permitted by law, we and our officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from your purchase or use of Zenpa, even if we have been advised of the possibility of such damages.

You are responsible for maintaining current and independent backups of all data used with or stored by Zenpa. To the maximum extent permitted by law, we are not responsible or liable for any loss, corruption, deletion, alteration, or inability to recover data, regardless of the cause. This exclusion does not apply where liability cannot lawfully be excluded.

Our aggregate liability arising out of or related to a paid plan shall not exceed the amounts you paid to us for that plan in the twelve (12) months preceding the claim (or, for a Lifetime plan, the one-time amount you paid for that Lifetime plan). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

Nothing in these conditions excludes or limits liability for intentional misconduct or gross negligence, death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited.

AI-generated output may be inaccurate or incomplete. You are solely responsible for verifying important information before relying on it. See also the AI-related provisions in our Terms of Service.

17. Suspension and termination

We may suspend or terminate paid access if you breach these conditions or the Terms of Service, if payment is not received after any applicable grace period, if we reasonably suspect fraud or abuse, or if we are required to do so by law. In such cases, no refund is due for the current or prepaid period, except where mandatory law requires otherwise.

18. Personal data

Billing and account data needed to process payments and manage your subscription or Lifetime entitlement are handled as described in our Privacy Policy and, for account deletion, in Section 9. Stripe acts as an independent payment processor for card transactions.

19. Modifications to these conditions

We may update these General Conditions of Sale from time to time. The version applicable to a purchase is the version in force at the time of that purchase. For ongoing subscriptions, material changes may be notified by email or in-app notice and will apply to subsequent renewals. Continued use after a renewal under updated conditions constitutes acceptance of those updates for the renewed period.

19.1. Assignment

We may assign or transfer these conditions and your plan to an affiliate or successor in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction. Your plan and existing entitlements will survive any such assignment or transfer.

20. Seller and contact

Zenpa is offered by The Computer Firm Sàrl, a company registered in Switzerland ("we", "us", or "Zenpa"), UID/VAT number: CHE-399.581.027. For product or pre-sale questions, contact support@zenpa.ai. For billing, payment, or legal questions, contact legal@zenpa.ai.

Use of the Zenpa application is also governed by our Terms of Service and Privacy Policy. If there is a conflict about payment, plans, or refunds, these General Conditions of Sale prevail.

21. Governing law and disputes

These General Conditions of Sale are governed by Swiss law, without regard to conflict-of-law principles. The courts at our registered seat have exclusive jurisdiction, subject to any mandatory consumer protection, applicable law, or venue rules that apply to you.

Before filing a claim, please contact legal@zenpa.ai so we can try to resolve the matter amicably.

22. Severability

If any provision of these conditions is held invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be interpreted to achieve as closely as possible the original commercial intent.
